Nestle SA (NESN) is selling Givaudan (GIVN) SA shares worth $1.27 billion at yesterday�� closing price to institutional investors, winding down its stake in the world�� largest flavorings maker.
Nestle plans to sell all of its 926,562 Givaudan shares, according to a statement on its website. Nestle acquired the stake in 2002 when Givaudan bought Nestle�� food-ingredient business for 750 million Swiss francs -- $450 million at the time -- in cash and shares.
��estle has been very satisfied with its holding but believes now is the appropriate time to divest,��the company said.
The Nespresso coffee maker was the second-biggest owner of Givaudan shares with a 10 percent stake as of Dec. 31, according to data compiled by Bloomberg. Goldman Sachs Group Inc. is managing the sale, which has yet to be completed.
Nestle, based in Vevey, Switzerland, last month sold most of its Jenny Craig diet business to North Castle Partners as it embarks on an effort to dispose of underperforming units. Chief Executive Officer Paul Bulcke has said the company is drawing up a short list of businesses it�� looking to sell after identifying laggards it can�� fix.

Walmart Stores (WMT) built its reputation on everyday low prices and convenient supercenters that allow customers to do all their shopping in one place. But revenue at established Walmart stores in the U.S., which account for 60 percent of the company's total sales, has declined for five consecutive quarters. Meanwhile, the number of customers has fallen six quarters in a row. Like many other retail chains that cater to working-class Americans, Walmart is a victim of an uneven economic recovery that has benefited well-heeled shoppers more than those in the lower-income rungs. Moreover, shoppers are no longer willing to spend hours in big supercenters. They're turning to online competitors such as Amazon.com (AMZN), dollar stores and pharmacies. Walmart's annual shareholders' meeting Friday could offer clues as to how Doug McMillon, who became Walmart's CEO in February, plans to deal with the biggest issues Walmart faces: Cash-Strapped Shoppers In an interview with The Associated Press, Bill Simon, CEO and president of Walmart's U.S. stores division, says the top concerns among its shoppers are lack of jobs and gas prices. Walmart's customers also still are struggling with a 2 percentage point increase in the Social Security payroll tax since Jan. 1, 2013. Additionally, they're facing reductions in government food stamp benefits. As a result, Walmart's customers have changed their shopping habits. Carter/AP Dollar General (DG) upped its bid for the rival Family Dollar chain and addressed an earlier roadblock, saying that it will more than double the number of stores it would shed to tamp down the antitrust concerns of its takeover target. The newest bid is worth $9.1 billion, or $80 a share, up from $78.50 a share in the previous offer. Family Dollar (FDO), based in Matthews, North Carolina, rejected the earlier bid in favor of a lesser offer of $8.5 billion from Dollar Tree (DLTR), saying that regulators were less likely to stand in the way. On Tuesday Dollar General, the country's largest dollar-store chain, said it would divest as many as 1,500 stores, well above the 700 that it had originally agreed to, in order to sidestep any anti-monopoly actions that regulators might pursue. The Goodlettsville, Tennessee, company has also said it will pay a $500 million reverse break-up fee to Family Dollar Stores if the deal hits antitrust roadblocks. Dollar General Chairman and CEO Rick Dreiling said that a second antitrust review supported its prior bid, but that its offer was revised "to demonstrate the seriousness of our commitment." The businesses of Family Dollar and Dollar General are more similar than Dollar Tree's. The first two sell items at a variety of prices while at Dollar Tree, all items are a buck. Family Dollar has been looking for a lifeline after running into some financial stress, shuttering stores and cutting prices. In June one big shareholder, Carl Icahn, urged the company to put itself up for sale. Family Dollar acted one month later, accepting an offer from Chesapeake, Virginia-based Dollar Tree of $59.60 in cash and the equivalent of $14.90 in shares of Dollar Tree for each share held. The companies valued the transaction at $74.50 a share at the time. Including debt and other costs, Family Dollar and Dollar Tree estimated the deal to be worth approximately $9.2 billion.
