The dollar value of global merger & acquisition (M&A) transactions in the oil & gas industry plunged by nearly 50% in 2013 from a record high level in 2012. The transaction count fell by 20% led by a very sluggish first half of the year. The data was reported last Thursday by research firm IHS Inc. (NYSE: IHS).

The value of M&A deals in 2012 totaled nearly $250 billion compared with a total of around $136 billion in 2013. In the three years from 2010 through 2012 more than $600 billion in M&A deals were completed.

No corporate merger valued at more than $5 billion occurred in 2013, while there were several deals valued at more than $10 billion in 2012. Two of 2012�� biggest deals were Freeport-McMoRan Copper and Gold Inc.�� (NYSE: FCX) acquisition of McMoRan Exploration and Plains Exploration & Production for a total of about $20 billion. Another big acquisition in 2012 was Cnooc Ltd.�� (NYSE: CEO) $15 billion deal for Nexen Energy.

  • [By Robert Rapier] In last week’s MLP Investing Insider (MLPII) I took a look at the MLP IPOs from the first half of 2013. Today I review the half dozen that have debuted in the second half of 2013.

    Phillips 66 Partners (NYSE: PSXP) launched on July 23 as one of the most anticipated IPOs this year. PSXP owns some of the midstream logistics assets of its sponsor, Phillips 66 (NYSE: PSX). PSXP has yet to announce its first distribution, but according to the IPO prospectus the minimum yield will be $0.85 per unit on an annualized basis. At the current unit price, this equates to a minimum annual yield of 2.8 percent, which is mainly a function of the huge run-up in unit price between the IPO pricing and today’s unit price. If the distribution does come in near the minimum, the unit price will almost certainly correct downward following the announcement.

    Marlin Midstream Partners (Nasdaq: FISH) launched on July 26. The partnership provides natural gas gathering, transportation, treating and processing services, NGL transportation services and crude oil transloading services. Marlin’s assets include three natural gas processing facilities in Texas, two natural gas gathering systems, two NGL transportation pipelines, and two crude oil transloading facilities. Marlin expects most of the gross margin to be generated under fee-based, minimum volume commercial agreements.

    Marlin targets a coverage ratio of 1.10x to support distributions. Marlin’s partnership agreement provides for a minimum quarterly distribution of $0.35 per unit for each whole quarter, or $1.40 per unit on an annualized basis. The prorated distribution for the two months of the recently concluded quarter since tje IPO should be announced soon. The minimum annual yield based on the current unit price is projected at 7.7 percent. The unit price has declined 6 percent since the IPO.

Laredo Petroleum, Inc., formerly Laredo Petroleum Holdings, Inc., incorporated in August 12, 2011, is an independent energy company focused on the exploration, development and acquisition of oil and natural gas in the Permian and Mid-Continent regions of the United States. The Company�� activities are primarily focused in the Wolfberry and deeper horizons of the Permian Basin in West Texas and the Anadarko Granite Wash in the Texas Panhandle and Western Oklahoma, where it has assembled 134,680 net acres and 37,850 net acres, respectively, as of December 31, 2011.

Permian Basin

The Permian Basin, located in west Texas and southeastern New Mexico, is an onshore oil and natural gas producing regions in the United States. The Company�� Permian activities are centered on the eastern side of the basin approximately 35 miles east of Midland, Texas in Glasscock, Howard, Reagan and Sterling Counties. As of December 31, 2011, it held 134,680 net acres in over 300 sections with an average working interest of 96% in wells drilled as of that date. The overall Wolfberry interval, the principal focus of its drilling activities, is an oil play that also includes a liquids-rich natural gas component. Its production/exploration fairway extends approximately 20 miles wide and 80 miles long. While exploration and drilling efforts in the southern half of its acreage block has been centered on the shallower portion of the Wolfberry (Spraberry, Dean and Wolfcamp formations) the emphasis in the northern half has been on the deeper intervals, including the Wolfcamp, Cline Shale, Strawn and Atoka formations.

As of December 31, 2011, the Company had drilled and completed approximately 600 gross vertical wells and had defined the productive limits on its acreage throughout the trend. It has expanded its drilling program to include a horizontal component targeting the Cline and Wolfcamp Shales. The Company has drilled four gross horizontal Wolfcamp Shale wells as of December 31, 2011. A! s of December 31, 2011, it had drilled a total of 27 gross horizontal wells in the Wolfcamp and Cline formations, of which 23 are in the Cline Shale and four in the Wolfcamp Shale. It had over 5,600 total gross identified drilling locations (both vertical and horizontal) in the Permian, all of which are within the Wolfberry and Cline Shale interval during the year ended December 31, 2011.

Anadarko Granite Wash

Straddling the Texas/Oklahoma state line, its Granite Wash play extends over a large area in the western part of the Anadarko Basin. As of December 31, 2011, it held 37,850 net acres in Hemphill County, Texas and Roger Mills County, Oklahoma. The Company�� play consists of vertical and horizontal drilling opportunities targeting the liquids-rich Granite Wash formation. As of December 31, 2011, it had drilled and completed over 150 gross vertical wells. During 2011, its horizontal Granite Wash program was in the development phase. As of December 31, 2011, it had approximately 100 gross identified potential drilling locations for the horizontal Granite Wash, which included both its Texas and Oklahoma acreage.

Other areas

The Company, in addition to its Permian Wolfberry and Anadarko Granite Wash plays, evaluated opportunities in three other areas within its core operating regions during 2011. The Dalhart Basin is located on the western side of the Texas Panhandle. As of December 31, 2011, the Company held 83,295 net acres in the Dalhart Basin. As of December 31, 2011, it had drilled two gross vertical wells in the Dalhart Basin. The second area is centrally located in the Central Texas Panhandle, where its operations were conducted through its joint venture with ExxonMobil as of December 31, 2011. As of December 31, 2011, it held 46,915 net acres in the Central Texas Panhandle. The third area is located in the eastern end of the Anadarko Basin, in Caddo County, Oklahoma.     Who's doing it the best?
    It can be pretty handy to evaluate the entire industry on how efficiently it's replacing reserves, but reserve replacement costs can be more effective in evaluating individual companies. The lower the costs, the better it is. According to Ernst & Young, the most effective company at controlling reserve replacement costs is private company�Antero Resources, with a three-year average reserve replacement cost of about $2.88 per barrel of oil equivalent. Antero, and four of the other top five companies on Ernst & Young's list, are almost pure natural gas plays. If we've learned one thing over the past couple of years, it's that oil reserves and natural gas reserves are two totally different things when it comes to value. The five following companies have more than 50% liquids on�their�reserves and had the lowest reserve replacement costs for 2012.

Dresser-Rand Group Inc., incorporated on October 1,2004, is a global supplier of of custom-engineered rotating equipment solutions for long-life, critical applications in the oil, gas, chemical, petrochemical, process, power generation, military and other industries worldwide. Its rotating equipment is also supplied to the environmental solutions market space within energy infrastructure. The Company has two segments: new units and aftermarket parts. New units are predominately engineered solutions to new requests from clients. New Units

The Company is a manufacturer of engineered turbo and reciprocating compression equipment and steam turbines. It is also a manufacture power turbines; special-purpose gas turbines; hot gas expanders; gas and diesel engines; trip, trip throttle and non-return valves; magnetic bearings and control systems. Its new unit products are built to client specifications for long-life, critical applications. It is a supplier of turbo machinery for the energy infrastructure markets worldwide. Applications for its turbo products include gas gathering, lift, export and injection; CO2 compression for enhanced oil recovery; storage and transmission; synthetic fuels; ethylene and fertilizer production; refineries and chemical production; CCS and CAES. In addition, it offers a variety of gas and power turbines covering a power range from approximately 1.5 megawatts to more than 50 MW, which support driver needs for various centrifugal compressor product lines, as well as for power generation applications. It also offers control systems for its centrifugal compressors.

It is a supplier of reciprocating compressors, offering products ranging from medium to high-speed separable units driven by engines or electric motors, to slow speed motor driven process reciprocating compressors. It is a supplier of standard and engineered mechanical drive steam turbines and turbine generator sets. Its steam turbine models cover a power range from a few kilowatts up to 75MW, are available for high inlet steam pressure and temperature conditions, with or without induction and/or extraction sections and in condensing or back-pressure designs. These units are used primarily to drive pumps, fans, blowers, generators and compressors. It is a supplier of diesel, gas and dual fuel internal combustion reciprocating engines. Its Guascor engines cover a power range of up to 1.5 megawatts. Guascor engines are used in 1) industrial applications and power generation, 2) marine propulsion and auxiliary genera! tion, and! 3) environmental solutions, CHP and bioenergy (waste water treatment plant, landfill and biogas generation).

Aftermarket Parts and Services

Aftermarket parts and services segment provides them with long-term growth opportunities. Aftermarket parts and services are generally less sensitive to business cycles than the new units segment, although revenues and bookings tend to be higher in the second half of the year. With a typical operating life of 30 years or more, rotating equipment requires substantial aftermarket parts and services over its operating life. Parts and services activities realize higher margins than new unit sales. Additionally, the cumulative revenues from these aftermarket activities often exceed the initial purchase price of the unit. Its aftermarket parts and services business offers a range of services designed to enable clients to maximize their return on assets by optimizing the performance of their mission-critical rotating equipment. It offers a broad range of aftermarket parts and services, including: replacement parts, field service turnaround, service and repair, operation and maintenance contracts, rotor / spare parts storage, condition monitoring, controls retrofit, site / reliability audits, remote area energy solutions, equipment repair and rerates, equipment installation, applied technology, long-term service agreements, special coatings / weldings, product training, turnkey installation / project management and energy asset management.
