UBS offers to repurchase Puerto Rico muni bond funds, plaintiff's attorneys say

A unit of UBS AG in the past two weeks has offered to repurchase shares of moribund, closed-end municipal bond funds invested in Puerto Rico muni securities from a select number of clients, according to plaintiff's attorneys.

The market for Puerto Rico's $70 billion muni debt bottomed out over the summer after Detroit filed for bankruptcy in July. UBS Financial Services Inc. of Puerto Rico is a significant player in the muni debt market on the island commonwealth, having packaged and sold $10 billion in proprietary closed-end bond funds through the end of last year.

The net asset value of the 14 UBS closed-end funds have plummeted.

The NAV for the $375 million Puerto Rico Fixed Income Fund Inc. was $3.63 at the end of October, down 85.4% since the end of June. The NAV for the $449 million Puerto Rico Fixed Income Fund III Inc. was $4.08 at the end of last month, a drop of 68.2% since June.

Investors purchased the proprietary bond funds for $10 a share.

When brokers called recently, the investors were given no firm price for the shares, attorneys said.

“Clients were told they could put an open order for NAV or less and sell it at whatever price they could get, 0, $1 or anything,” said Harold Vicente-Gonzalez, an attorney in Puerto Rico who has spoken with dozens of UBS clients invested in the muni bond funds.

Just three or four of those investors had been contacted by their brokers at UBS, and those clients all had open lines of credit with the bank, he said.

“These people are very skeptical,” Mr. Vicente-Gonzalez said.

“Their brokers haven't called in three months because they've been wiped out, and now they're getting calls," he said. "We haven't seen anything written down.”

UBS spokeswoman Karina Byrne confirmed the recent share repurchase program.

“We encouraged our financial advisers to contact clients who hold Puerto Rico closed-end funds, including clients who have UBS Bank USA loans secured in any part by closed-end funds, to discuss the share repurchase to help clients understand their options,” she wrote in an email. “The offers would be at NAV or below.”

“It was simply a promise they may find a buyer for a client,” said Scott Silver, an attorney working with 75 UBS clients invested in the muni bond funds. “No price was discussed, and no specifics or guarantees given."

Verizon may be thinking that if it turns off the dividend spigot, Vodafone would be forced to sell, perhaps at a better price. If Verizon does stop the flow of profits, it wouldn't be the first time. From 2005 until the beginning of 2012, Verizon, with its controlling 55%, had paid out nothing -- a point of contention between the companies.

Bush -- the first aircraft carrier to successfully catapult launch an unmanned aircraft from its flight deck. With a fiscal 2013 defense budget of nearly $614 billion, the United States is widely known to be a big spender on defense. By some estimates, U.S. defense spending accounts for nearly 60 percent of the $1.19 trillion the top 10 military powers spent on defense in 2011. In fact, our country allocates more than five times more money to defense than does its closest spending rival, China. And that's not the half of it.     Another under-$10 electrical components and equipment player that's starting to move within range of a near-term breakout trade is Active Power (ACPW), which designs, manufactures and markets power solutions that provide business continuity and protect customers in the event of an electrical power disturbance. Its products deliver clean power, protecting customers from voltage fluctuations. This stock has hasn't done much so far in 2013, with shares off by 6.7%.

    If you take a look at the chart for Active Power, you'll notice that this stock recently formed a double bottom chart pattern at $2.82 to $2.80 a share. Since forming that bottom, shares of ACPW have started to uptrend and move back above its 50-day moving average of $2.94 a share. That move is quickly pushing shares of ACPW within range of triggering a near-term breakout trade.

    Market players should now look for long-biased trades in ACPW if it manages to break out above some near-term overhead resistance levels at $3.14 to $3.23 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 87,166 shares. If that breakout hits soon, then ACPW will set up to re-test or possibly take its next major overhead resistance levels at $3.65 to $3.76 a share. Any high-volume move above those levels will then give ACPW a chance to tag its next major overhead resistance levels at $4 to $4.20, or even $4.50 a share.

    Traders can look to buy ACPW off any weakness to anticipate that breakout and simply use a stop that sits right below its 50-day moving average at $2.94 a share, or near its double bottom zone at $2.80 a share. One can also buy ACPW off strength once it clears those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

I cant evaluate the companys culture, management, etc. There was no way I was ever going to answer questions like that. But I can easily split Murphys U.S. retail business from its other operations. And I can compare that part of the company to other public companies like Pantry (PTRY) and Susser (SUSS). I can also this is much harder look at Murphys reserves and compare them to other oil companies reserves. The SEC now requires a standardized way of reporting discounted net cash flows for all oil companies. So, theres certainly a specific number available for every company. Whether its a very good number or not depends on the assumptions the method uses.

Company-Operated and Franchised Restaurants

The Company operates its McDonald��-branded restaurants under two basic structures: Company-operated restaurants operated by the Company and franchised restaurants operated by franchisees. It owns, fully manages and operates the Company-operated restaurants and retains any operating profits generated by such restaurants, after paying operating expenses and the franchise and other fees owed to McDonald�� under the Master Franchise Agreements (MFAs). In Company-operated restaurants, it assumes the capital expenditures for the building and equipment of the restaurant and, if it owns the real estate location, for the land as well. In addition to this monthly rent, it collects the monthly continuing franchise fee, which generally is 5% of the United States dollar equivalent of the restaurant�� gross sales, and pays these fees to McDonald�� pursuant to the MFAs. However, if a franchisee fails to pay its monthly continuing franchise fee, it remains liable for payment in full of these fees to McDonald��. As of December 31, 2010, it was engaged in several joint ventures, which collectively owned 24 restaurants, in Argentina, Chile and Colombia.

Restaurant Categories

The Company classifies its restaurants into one of four categories: freestanding, food court, in-store and mall stores. Freestanding restaurants are the type of restaurant, which have ample indoor seating and include a drive-through area. Food court restaurants are located in malls and consist of a front counter and kitchen and do not have their own seating area. In-store restaurants are part ! of a larg! er building and resemble freestanding restaurants, except for the lack of a drive-through area. Mall stores are located in malls like food court restaurants, but have their own seating areas. As of December 31, 2010, 808 (or 46.2%) of its restaurants were freestanding, 359 (or 20.5%) were food court, 265 (or 15.1%) were in-stores and 319 (or 18.2%) were mall stores. In addition, it has four non-traditional stores, such as food carts.

Reimaging

As of December 31, 2010, the Company had completed the reimaging of 308 of 1,569 restaurants. Many of the reimaging projects include the addition of McCafe locations to the restaurant. It has developed system-wide guidelines for the interior and exterior design of reimaged restaurants.

McCafe Locations and Dessert Centers

McCafe locations are stylish, separate areas within restaurants where customers can purchase a range of customizable beverages, including lattes, cappuccinos, mochas, hot and iced premium coffees and hot chocolate. As of December 31, 2010, there were 267 McCafe locations in the Territories, of which 12% were operated by franchisees. Argentina, with 71 locations, has McCafe locations, followed by Brazil, with 67 locations. In addition to McCafe locations, it has Dessert Centers. Dessert Centers operate from existing restaurants, but depend on them for supplies and operational support. As of December 31, 2010, there were 1,306 Dessert Centers in the Territories.

Product Offerings

The IVA Worldwide Fund Class A (NAV) ("the Fund") ended the quarter on March 31, 2014 with a return of 2.41% compared to the MSCI All Country World Index ("Index") return of 1.08%. Since inception on October 1, 2008, on an annualized basis, the Fund returned 11.85% versus the Index return of 8.59% for the same period.

The first quarter of 2014 began with a pullback in equity markets with the MSCI All Country World Index falling -5.7% through February 4. We were able to demonstrate our resiliency in down markets with our portfolio's return of -2.1% during the same period. Our exposure to cash helped protect the portfolio on the downside and we also benefited from continued strong stock selection, especially in Japan. Our cash exposure rose to 35.3% at quarter-end, up from 31.7% on December 31, while our equity exposure decreased to 51.3% at quarter-end, down from 52.8% on December 31. We trimmed or sold a few equities, some in the consumer discretionary sector and some in Japan, which we believe are close to full valuation. We are comfortable with our cash exposure today given the risks we see in the market and full equity valuations. As long-term investors who attempt to deliver absolute returns to our clients, we will continue waiting patiently for the opportunity to buy securities that we view as undervalued rather than compete on a relative basis over the short-term by buying securities today that we think are fully valued and risk permanent impairment of capital.

    Halliburton now trades at 11.7 times 2014 earnings and 5.9 times EV/EBITDA. One of its closer competitors in the oil and gas services industry, Schlumberger (SLB) sells for 15.1 times 2014 earnings and 8.6 EV/EBITDA. Its true that Halliburton's third quarter did not impress investors at all. As a matter of fact, the stock reacted negatively when results were released despite the small EPS beat the company achieved ��$0.83 versus $0.82 analysts were expecting. The stock's reaction was related to lower than expected growth (above all in Latin America) and smaller than expected margins in North America. That said, I believe those issues ��slower growth and declining margins ��were given by temporary issues such as the flooding in Colorado which is not an operational issue but a weather-related issue. Once again, I agree with Soros. Halliburton should continue outperfoming and beating its self-imposed targets.

    On July 28, Dollar Tree (DLTR) announced that it will be buying rival Family Dollar for a total of $9.2 billion (including debt). Icahn had originally suggested that Family Dollar be bought out by leader Dollar General, but shortly after stated that the recent announcement of the retirement of Dollar General�� CEO would cause disruptions in his plan of merging the two companies. The announced deal gives Dollar Tree over 13,000 stores in the 48 states and Canada, as well as more than $18 billion in sales. This pushes Dollar Tree above and beyond major rival Dollar General, which last year had $17.5 billion in sales and 11,338 current locations. There has also been much talk about the impact this merger will have on the giant Wal-Mart (WMT), which generally focuses on low-income consumers by offering more items for under $1.
